LITIGATION AND ADMINISTRATIVE PROCEEDINGS, Neither Fossil Oil Company, LLC or Fossil Oil & Gas Management, LLC (“Fossil Oil”) nor its members, managers or officers are currently parties to any known pending or threatened legal proceedings, or any existing court judgments or judicial orders, which are believed to materially and adversely affect Fossil Oil or operations pertaining to the Muehr #2 Well. In 1982 and 2003, a person affiliated with Fossil Oil, Mr. Dennis R. Kittler, consented with securities regulators to the entry of an administrative orders in Colorado and Pennsylvania, respectively, which involved different companies (i.e., not Fossil), without admitting any violation of applicable securities laws. Additionally, out of an abundance of caution to ensure compliance with applicable securities laws, Mr. Kittler and a different company (i.e., not Fossil Oil) voluntarily undertook to offer investors in a certain Texas joint venture the option of rescission; few investors, however, exercised the option.
